Terms for using our website and working with us.

These Terms & Conditions apply to UAB "TagRise Technologies", operating through tagrise.ai. By using our website, contacting us or engaging our services, you agree to these terms unless a separate written agreement says otherwise.

What we provide

Tagrise Technologies provides technology services including software development, business automation, SaaS product development, websites, CMS platforms, portals, messaging systems, UX/UI and graphics design, AI-assisted workflows, AI data operations and related technical support.

Website use

You may use our website for lawful purposes only. You must not attempt to damage, disrupt, overload, reverse engineer, misuse or gain unauthorized access to our website, systems, forms or connected services.

Project inquiries

Sending a contact form, email or project request does not create a contract. A project starts only when the scope, pricing, timeline, responsibilities and acceptance terms are confirmed in writing.

Proposals and estimates

Any proposal, estimate or timeline we provide is based on the information available at the time. If requirements change, missing information appears, or additional work is requested, the cost and timeline may also change.

Client responsibilities

Clients are responsible for:

• providing accurate project information and requirements;
• reviewing deliverables and giving feedback on time;
• providing necessary access, files, content, data or approvals;
• making sure they have the right to provide any materials or data shared with us;
• paying invoices according to the agreed payment terms.

Custom software and deliverables

For custom software projects, ownership, copyright, licensing and usage rights are handled according to the written project agreement. If no separate agreement exists, rights are limited to what is reasonably necessary for the agreed project purpose after full payment is received.

Products, SaaS and reusable components

Some software, tools, frameworks, templates, modules, libraries, design patterns or product ideas may be created by Tagrise Technologies and reused across projects or made available as separate products or SaaS services.

Unless agreed otherwise in writing, we retain ownership of our pre-existing tools, internal methods, reusable components, general know-how and product foundations.

Third-party services

Projects may use third-party services such as hosting providers, payment processors, email services, SMS gateways, APIs, analytics tools, design tools, AI services or other platforms. Their own terms, pricing and service availability may apply.

Content and data provided by clients

You are responsible for the legality, accuracy and rights to any content, files, data, branding, images, text, datasets or materials you provide. We are not responsible for claims arising from materials supplied by the client.

Payments

Payment terms, milestones, subscriptions, retainers or support fees will be agreed before work begins. Late payments may delay delivery, support, access or continued service.

Support and maintenance

Support, bug fixing, maintenance, monitoring and updates are included only when stated in the relevant project agreement, subscription plan or support arrangement.

Limitation of liability

To the maximum extent permitted by law, Tagrise Technologies is not liable for indirect, incidental, special or consequential losses, including loss of profit, loss of data, business interruption or reputational damage.

Our total liability for any claim will not exceed the amount paid to us for the specific service giving rise to the claim, unless applicable law requires otherwise.

No guarantee of specific results

We work to deliver services professionally and responsibly, but we do not guarantee specific commercial results, rankings, revenue, traffic, conversions, AI model performance, delivery rates or business outcomes unless expressly agreed in writing.

Governing law

These terms are governed by the laws of the Republic of Lithuania, unless a separate written agreement states otherwise.
